Affiliate Program Terms

These Affiliate Program Terms ("Affiliate Terms") govern participation in the Ardent Seller Partner Program (the "Program") operated by Ardent Workshop LLC ("we," "our," or "us"). The Program is administered through Lemon Squeezy, our payment provider. By being approved as an affiliate, you agree to these terms in addition to our Terms of Service and Privacy Policy.

1. Commission

1.1 Rate. Approved affiliates earn 20% recurring commission on the net subscription revenue of each customer they refer who subscribes to a paid Maker, Artisan, or Workshop plan (monthly or annual). PAYG (usage-based) plans are excluded.

1.2 Recurring. Commission is paid for each month the referred customer remains a paying subscriber. Commission stops when the customer cancels, downgrades to a free plan, or moves to PAYG.

1.3 Cooling-off period and payout schedule. Earned commission is held in a pending state to cover Lemon Squeezy's 30-day refund window and chargeback reconciliation. Lemon Squeezy then creates payouts twice monthly, on the 1st and the 15th, covering all referrals that have cleared the holding period since the last payout, and pays them on the 14th and the 28th. Refunded transactions reverse the corresponding pending commission automatically. This schedule is set by Lemon Squeezy rather than by us and may change.

2. Attribution

2.1 Tracking window. Commission is attributed to the affiliate whose link was clicked within 30 days prior to the referred customer's first paid subscription. Last-click wins.

2.2 Self-referral disallowed. Affiliates may not earn commission on their own purchases or those of any account they control.

2.3 Cookie technology. Tracking is performed by Lemon Squeezy's first-party attribution. We also record the affiliate code in your browser's session storage to enable our referred-customer signup bonus.

3. Payouts

3.1 Minimum. Payouts are issued on the schedule in 1.3 once your cleared commission balance reaches $25 USD.

3.2 Payment methods. Lemon Squeezy pays affiliates to a bank account or a PayPal account, in USD. You configure your preferred method in the Lemon Squeezy Affiliate Hub. We do not handle payouts directly. Lemon Squeezy deducts a platform fee from each payout, and its payout providers charge their own processing and currency-conversion fees, so the amount that reaches you is less than the gross commission shown in the Affiliate Hub.

3.3 Tax forms. Lemon Squeezy collects and issues tax forms (the W-9 / 1099 series for U.S. affiliates and the W-8 series for affiliates elsewhere) when earnings cross applicable thresholds. You are responsible for the tax treatment of commission income in your jurisdiction.

4. Required disclosures

4.1 FTC compliance. Affiliates promoting Ardent Seller in the United States must clearly and conspicuously disclose their affiliate relationship on every promotional post per FTC guidelines. Acceptable formats include #ad, #sponsored, or a sentence such as "This post contains affiliate links — I may earn a commission at no cost to you."

4.2 International disclosures. Affiliates outside the United States must comply with their local advertising and consumer-protection rules.

5. Prohibited tactics

The following activities are grounds for immediate termination from the Program and forfeiture of unpaid commission:

  • Brand bidding. Bidding on "Ardent Seller", "ArdentSeller", "Ardent Workshop", or close variants in Google Ads, Bing Ads, or any paid search.
  • Impersonation. Implying you are Ardent Seller staff, support, or an official representative.
  • Spam. Unsolicited email, SMS, comment spam, forum spam, or community-rule-violating posts.
  • Fake reviews. Posting fabricated reviews on review sites, app stores, or social platforms.
  • Coupon and discount sites. Posting affiliate links on coupon aggregators or cashback sites unless approved in writing.
  • Trademark misuse. Using our logos or wordmark in domain names, app names, or in ways that imply endorsement.
  • Misleading claims. Stating features, pricing, integrations, or guarantees that do not exist or that we have not made publicly.
  • Cookie-stuffing. Any technical method that forces affiliate cookies without an explicit user click on your link.

6. Termination

6.1 By you. You may withdraw from the Program at any time by contacting us.

6.2 By us. We may suspend or terminate your participation, with or without notice, for breach of these terms, fraudulent activity, or any conduct we determine harms our brand or customers. Pending commission for the period prior to termination is paid out on the standard schedule described in 1.3 if no fraud is involved.

7. Relationship to our other agreements

7.1 What these terms cover. These Affiliate Terms govern your participation in the Program. Our Terms of Service govern use of the Ardent Seller application by account holders. Where an affiliate does not hold an Ardent Seller account, the obligations in the Terms of Service that are conditioned on accessing or using the service do not apply to that affiliate by reason of Program participation alone.

7.2 Indemnity as applied to affiliates. For an affiliate who is not an Ardent Seller account holder, the indemnity in section 12 of the Terms of Service is limited, in respect of Program participation, to claims arising from (a) content the affiliate publishes about Ardent Seller or Ardent Workshop LLC, (b) the affiliate's promotional activity under the Program, and (c) the affiliate's breach of these Affiliate Terms. It does not extend to an affiliate on the basis of use of the service that affiliate has not made.

7.3 Order of precedence. Where these Affiliate Terms conflict with our Terms of Service, these Affiliate Terms control in respect of Program participation. This precedence operates only as between documents published by Ardent Workshop LLC.

7.4 Resolving disputes with us. Before either party begins formal proceedings in connection with the Program, that party will first raise the matter by email and both parties will attempt to resolve it informally for 30 days. Nothing in section 16 of the Terms of Service requires an affiliate resident outside the United States to arbitrate a Program dispute in the United States, or removes any right that affiliate has to bring a Program claim in a court of competent jurisdiction where they reside, including a small-claims court.

7.5 Lemon Squeezy is a separate agreement. The Program is administered through Lemon Squeezy, which registers affiliates, holds and clears commission, and issues payouts as merchant of record. Your relationship with Lemon Squeezy is governed by Lemon Squeezy's own terms, which form a separate agreement between you and Lemon Squeezy. We cannot vary those terms, and nothing in these Affiliate Terms purports to do so. Where Lemon Squeezy's platform mechanics and these terms describe the same process differently, Lemon Squeezy's mechanics govern the mechanics.

8. Modifications

We may amend these terms at any time. Material changes will be communicated by email to the address on file with the affiliate program. Continued participation after the effective date constitutes acceptance.
