Terms of Service

Welcome to Ardent Seller, a service provided by Ardent Workshop LLC ("we," "our," or "us"). By accessing or using our service, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.
1. Acceptance of Terms
By accessing and using Ardent Seller, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms, please do not use our service.
2. Description of Service
Ardent Seller is a multi-tenant inventory, manufacturing, and sales management platform designed for small business sellers, including craft sellers, at-home bakers, digital product sellers, and similar businesses. The service provides comprehensive tracking of inventory, transactions (purchases, sales, adjustments, and more), recipes/procedures, equipment, and entities such as vendors, customers, and locations. Some features listed on our website may be marked as "coming soon" or "planned" and are not yet available.
3. User Accounts
3.1 Registration: You must create an account to use Ardent Seller. You agree to provide accurate, current, and complete information during the registration process.
3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.3 Account Termination: We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.
4. Plans, Billing, and Payment
4.1 Plans: Ardent Seller offers multiple plans, including a free plan, fixed-price subscription plans, and a usage-based Pay As You Go plan. All plans provide access to the same features. Current plan details, pricing, and limits are available on our Pricing page.
4.2 Free Plan: The free plan is available at no cost and subject to monthly transaction limits and caps on users, locations, and audit trail retention. We reserve the right to modify, restrict, or impose additional limitations on the free plan at any time, with or without prior notice to free plan users.
4.3 Fixed-Price Plans: Fixed-price subscription plans (such as Maker, Artisan, and Workshop) are billed on a recurring monthly basis. Each plan includes defined limits for transactions, users, locations, and audit trail retention. A one-time welcome bonus of additional transactions may be applied when you first subscribe.
4.4 Pay As You Go Plan: The Pay As You Go plan has no setup fee and bills based on actual usage each billing period. Usage is measured in credits (1 credit = $1 USD). Transaction credits are calculated using graduated pricing tiers — the per-transaction cost decreases as your volume increases within each billing period. Additional users, locations, and extended audit trail retention are charged at fixed credit rates per month. A monthly allowance of free credits is included. 4.5 Storage Limits: Each plan includes a storage cap for uploaded photos and files. Free, Maker, Artisan, and Workshop plans have fixed storage caps as described on our Pricing page. The Pay As You Go plan provides unlimited storage, billed at 0.25 credits per GB per month based on peak storage usage during the billing period. When a plan's storage cap is reached, new uploads are blocked until existing files are deleted or the account is upgraded to a plan with a higher storage allowance. We reserve the right to adjust storage caps with 30 days' notice.
4.6 Payment Processing: Payments are processed securely through our third-party payment processor, Lemon Squeezy. By subscribing to a paid plan, you agree to pay all applicable fees.
4.7 Cancellation: You may cancel your subscription at any time. For fixed-price plans, you will retain access until the end of your current billing period. For the Pay As You Go plan, any outstanding usage charges for the current billing period remain due upon cancellation. Unused bonus credits or purchased credit balances are non-refundable and non-transferable.
4.8 Refunds: Refunds are considered on a case-by-case basis. To request a refund, please contact our support team.
4.9 Price Changes: We may change our pricing at any time. For active paid plans (including fixed-price subscriptions and Pay As You Go), we will provide at least 30 days' notice before any changes to plan terms, limits, or pricing take effect. Such notice will be delivered via email or through a notification within the application. For fixed-price subscriptions, price changes will take effect at the start of your next billing period following the notice period.
4.10 Account Inactivity Policy: Accounts on the Free and Pay As You Go plans are subject to an inactivity policy. If no qualifying activity is detected for an extended period, your account may be warned, locked, and ultimately have its data permanently deleted. For Free plans, activity is measured by logins and transactions; for Pay As You Go plans, activity is measured by transactions only. The current inactivity timelines are:
- Free plan: Warning at 30 days, account lock at 60 days, data deletion at 75 days of inactivity
- Pay As You Go plan: Warning at 60 days, account lock at 90 days, data deletion at 180 days of inactivity
You will receive email notifications before your account is locked or deleted. Locked accounts can be reactivated instantly through self-service by logging in. While your account is locked, you can download a complete copy of your data using the "Export My Data" option on the lock screen. You can also export your data at any time from Settings > Data Management. Once data has been permanently deleted, it cannot be recovered. Paid subscription plans (Maker, Artisan, and Workshop) are exempt from the inactivity policy. We reserve the right to modify inactivity timelines with 30 days' notice.
5. Use of Service
5.1 Acceptable Use: You agree to use Ardent Seller only for lawful purposes and in accordance with these Terms. You must not:
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Transmit any harmful, offensive, or objectionable content
- Attempt to gain unauthorized access to our systems or other users' accounts
- Use automated systems to access the service without permission
- Interfere with or disrupt the service or servers
5.2 Data Accuracy: You are responsible for the accuracy and legality of all data you enter into the system.
6. Third-Party Marketplace Integrations
6.1 Overview: Ardent Seller plans to offer optional integrations with third-party marketplace platforms (such as Etsy, Shopify, Amazon, and others) to import order data, synchronize inventory levels, and track transaction fees. These integrations, when available, will be provided as a convenience and are subject to the terms in this section.
6.2 Authorization and Consent: By connecting a third-party marketplace account to Ardent Seller, when such integrations are available, you authorize us to access your marketplace account data through that platform's API on your behalf. You represent that you have the authority to grant this access and that doing so does not violate any agreement between you and the third-party platform. You may revoke this authorization at any time by disconnecting the integration from your Ardent Seller account settings.
6.3 Third-Party Terms: Your use of any third-party marketplace is governed by that platform's own terms of service, privacy policy, and API terms of use. You are responsible for reviewing and complying with those terms. For Etsy, these include the Etsy Terms of Use, Etsy Privacy Policy, and Etsy API Terms of Use. In the event of any conflict between these Terms and a third-party platform's terms regarding data obtained from that platform, the third-party platform's terms shall govern with respect to that data.
6.4 Data Usage and Caching: When marketplace integrations are available, data imported from third-party marketplaces (including but not limited to orders, transaction fees, product listings, and inventory levels) is stored in your Ardent Seller account solely to provide inventory management, cost tracking, and reporting functionality to you. We comply with each platform's API caching and data retention policies. For example, listing content from Etsy is refreshed at least every 6 hours, order and fee data is refreshed at least every 15 minutes, and inventory updates are pushed in near real-time, in accordance with Etsy's API Terms of Use. We do not cache or store content longer than is reasonably necessary to provide the service. We do not sell, share, or use marketplace data for purposes other than providing the service to you.
6.5 Data Accuracy and Availability: We do not guarantee the accuracy, completeness, or timeliness of data imported from third-party marketplaces. Marketplace APIs may experience downtime, rate limits, or changes that affect data synchronization. You are responsible for verifying the accuracy of imported data and should not rely solely on synchronized data for critical business decisions. 6.6 No Endorsement: Third-party marketplace names, logos, and trademarks are the property of their respective owners. Ardent Seller's integration with these platforms does not imply endorsement, certification, or affiliation with any third-party platform. The term "Etsy" is a trademark of Etsy, Inc. This application uses the Etsy API but is not endorsed or certified by Etsy, Inc.
6.7 Disconnection and Data Retention: When you disconnect a third-party marketplace integration, we stop importing new data from that platform. Previously imported data (such as historical orders and transaction records) remains in your Ardent Seller account as part of your business records unless you explicitly delete it or delete your account. If you revoke access through the third-party platform's settings (e.g., revoking Etsy OAuth authorization at etsy.com/your/account/apps), we will treat this as a disconnection and delete any cached or temporary data from that platform in accordance with its API terms. You may also request deletion of all data imported from a specific platform by contacting support.
6.8 Changes to Integrations: Third-party platforms may modify or discontinue their APIs at any time. We may add, modify, or remove marketplace integrations without prior notice. We are not liable for any loss or disruption caused by changes to third-party platform APIs or the discontinuation of any integration.
6.9 Third-Party Platform Disclaimers: This application is solely provided by Ardent Workshop LLC (the "Application Developer"). You acknowledge that Etsy, Inc. and its affiliates are not the Application Developer, do not provide the Ardent Seller service, and make no warranties of any kind with respect to this application or data accessed through it. Similar disclaimers apply to all other third-party marketplace platforms integrated with Ardent Seller.
7. Intellectual Property
7.1 Service Content: All content, features, and functionality of Ardent Seller, including but not limited to text, graphics, logos, icons, and software, are the exclusive property of Ardent Workshop LLC and are protected by copyright, trademark, and other intellectual property laws.
7.2 User Content: You retain all rights to the data and content you input into Ardent Seller. By using our service, you grant us a limited license to use, store, and process your content solely for the purpose of providing the service to you. You may export a complete copy of your data at any time from Settings > Data Management.
8. Privacy and Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy. By using Ardent Seller, you consent to our collection and use of your information as described in our Privacy Policy.
9. Disclaimers and Limitations of Liability
9.1 Service Availability: We strive to provide reliable service but do not guarantee that Ardent Seller will be available at all times without interruption or be error-free.
9.2 No Warranty: The service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
9.3 Limitation of Liability: To the maximum extent permitted by law, Ardent Workshop LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
10. Food and Nutrition Information Disclaimer
10.1 Informational Purposes Only: Any food, nutrition, allergen, or dietary information provided through Ardent Seller is for informational and business management purposes only. This information is not intended as medical advice, dietary guidance, or as a substitute for consultation with qualified healthcare or nutrition professionals.
10.2 No Guarantees of Accuracy: While we strive to provide accurate nutritional data, we do not guarantee the completeness, accuracy, or reliability of any food or nutrition information. Data may come from third-party sources and may contain errors or omissions. You are solely responsible for verifying the accuracy of any nutritional information before using it in your business operations or providing it to customers.
10.3 User Responsibility: If you provide food products to customers, you are solely responsible for ensuring compliance with all applicable food labeling laws, allergen disclosure requirements, and other regulatory obligations. You must independently verify all nutritional and allergen information before making any claims or representations to your customers.
10.4 Allergen Information: Allergen information provided through the service should not be relied upon as the sole source for allergen disclosure. You must maintain your own allergen control procedures and verify all allergen information through your own supply chain and manufacturing processes.
10.5 Third-Party Data Sources: Nutritional and food data may be sourced from third-party databases, including but not limited to OpenNutrition and Open Food Facts. We do not control these third-party sources and are not responsible for their accuracy, completeness, or availability.
11. Third-Party Data Attribution
Ardent Seller incorporates food and nutritional data from third-party open data sources. We are required to provide the following attributions:

Nutritional data provided by OpenNutrition, licensed under the Open Database License (ODbL) and Database Contents License (DbCL).
Open Food Facts
Additional food data © Open Food Facts contributors, used under the Open Database License (ODbL).
By using Ardent Seller, you acknowledge that any derivative databases you create using this data must be shared under the same license terms (Share-Alike provision of the ODbL).
12. Indemnification
You agree to indemnify, defend, and hold harmless Ardent Workshop LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the service, your violation of these Terms, or your violation of any rights of another.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the service after such changes constitutes your acceptance of the new Terms.
14. Termination
We may terminate or suspend your account and access to the service immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use the service will immediately cease.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Ardent Workshop LLC operates, without regard to its conflict of law provisions.
16. Dispute Resolution
Any disputes arising out of or relating to these Terms or the service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
